General terms and conditions for Produktpass Pro

§ 1 Scope

These terms apply to purchases of Produktpass Pro for WooCommerce from Bejtovic Capital UG (haftungsbeschränkt), Spohrstraße 63, 60318 Frankfurt am Main, Germany. The offer is made only to businesses within the meaning of section 14 of the German Civil Code established in Germany; consumers cannot buy.

Differing terms of the buyer do not apply, even if we do not expressly object to them.

§ 2 Service

The subject is an annual subscription for one production website: a licence key, the downloads and updates of Produktpass Pro during the term and support by e-mail with a first answer within two working days.

The code of Produktpass Pro is licensed under the GPL-2.0-or-later. The subscription gives access to downloads, updates and support; it restricts none of the rights the GPL grants.

Produktpass Pro requires the free plugin Produktpass for WooCommerce. The page about Produktpass Pro at the time of the purchase describes its scope.

A request about the name: a modified copy of Produktpass Pro that others distribute should not be called “Produktpass”, so that buyers can tell our product apart from others. This is a request, not a trademark claim; it restricts none of the rights the GPL grants.

§ 3 Term and cancellation

The subscription runs for one year from the payment and renews by a further year each time unless it is cancelled.

You can cancel at any time in the customer portal; the cancellation takes effect at the end of the paid year. The right to terminate for good cause remains unaffected.

§ 4 Price and payment

Payment is due in advance and goes through Stripe; you receive the receipt by e-mail.

If the VAT treatment of our service changes, the resulting new version of these terms applies to new contracts and, for running subscriptions, from their next renewal; the price stays unchanged.

§ 5 Refund

We refund the first payment in full on request when the request reaches us within 14 days after the payment. We do not refund renewals or a started year.

With the refund of the first payment the licence ends, and the subscription is ended at once.

§ 6 Price changes

We announce price changes at least 30 days ahead by e-mail. An existing subscription keeps its price for 12 months after the announcement.

§ 7 End of the subscription

When the subscription ends, the editing functions of Produktpass Pro are locked; your data stays readable and exportable. Passport pages you published with the free plugin stay online. There are no more updates.

§ 8 Licence binding

A licence is valid for one production website. Development and staging websites are added under the rules of the page Manage licence, at most three together.

A licence can move to another production website three times within 365 days. Releasing a website does not count as a move.

We may block a licence and end the subscription at once if the licence key is obviously shared or misused, if a payment is charged back or if the first payment was refunded.

§ 9 Liability

We are liable without limit for intent and gross negligence, for damage from injury to life, body or health and under the German Product Liability Act.

For slight negligence we are liable only for the breach of an essential contractual duty, that is a duty whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely. The liability is then limited to the foreseeable damage typical for the contract, at most to the fees you paid in the 12 months before the damage.

Otherwise liability is excluded. These limitations also apply to our employees and agents.

§ 10 No legal advice

Produktpass helps you with the battery passport and the battery QR code under Regulation (EU) 2023/1542. The plugin's texts, templates and notes are not legal advice. You remain responsible for your duties and for the accuracy of your data. For a binding answer on your own case, ask a lawyer.

This also applies to the support: our answers explain the plugin and are no substitute for legal advice.

§ 11 Availability of the licence server

We promise no particular availability of the licence server. Produktpass Pro checks its licence daily. If no check succeeds, Pro keeps working for 30 days after the last successful check, but never beyond the paid period plus 14 days.

§ 12 Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

If the buyer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Frankfurt am Main.

The German version of these terms is binding; the English version is a translation.

If a provision is invalid, the others remain valid.
